Form S-1 deep dive

Inside the Anthropic S-1

Anthropic filed its public S-1 on October 26, 2026, providing a detailed view of Claude’s business model. Revenue comes from usage charges for API and enterprise services and paid subscriptions, with cloud marketplaces extending distribution. Rapid revenue growth, more large customers and rising revenue from the same qualifying customer cohort show commercial traction. Hyperscalers occupy overlapping roles as compute suppliers, distributors and, in some cases, capital providers and competitors. Our reading: the vulnerabilities are large compute arrangements with differing terms, potential further capital needs and dependence on platform partners. Fair value changes tied to financing also complicate headline earnings. Assessing growth therefore requires examining compute access, distribution economics and funding terms alongside revenue.

44.7quarters of Q2 2026 revenue equivalent to selected stated deal amounts: $516.5B of named deals excluding SpaceXAI, at the Q2 2026 pace of $11.6B a quarter. Each square is one quarter. L76 L71 L03

Revenue is racing to catch up

Q2 2026 revenue was about 30.7 times Q1 2025 and 2.1 times its compute and infrastructure expense. L97 L99

Findings

Eight things the filing shows

01 Money

Where each revenue dollar goes

Pick a period. Bars show expense per $1 of revenue by nature.

Gross margin, functional view

Derived from functional cost of revenue, not all compute expense or total profitability. This presentation excludes R&D and channel fees from cost of revenue. The filing warns that near-term compute additions may compress operating margins; the historical 85.4% is not a sustainable-margin forecast.

Gross margin = (revenue minus cost of revenue) / revenue. L10 L96 L11

Operating result by quarter ($M)

Q3 2025 includes a one-off $1.5B copyright settlement charge (GAAP); excluding it the loss was about (1,589). Q2 2026 GAAP operating margin was 8%; Adjusted Operating Margin (non-GAAP) was 19%. L06 L98 L100

03 Loss

From a small operating loss to an $80.7B net loss

1H 2026, in $M. Almost all of the gap is non-cash fair value accounting.

(72,388 + 8,720) / 80,748 = 100.4%: the identified fair-value adjustments exceed the net loss because other lines offset part of them. The bridge retains the full 8,757 Other expense line; the identified adjustment within it is 8,720, so the full line is not all fair value. L67 L15 L95

04 Commitments

The compute bill ahead

The filing leaves the total blank. The baskets below add nominal amounts with different bases: minimum commitments, maximum amounts, approximate rent and conditional deals. They are arithmetic comparisons, not a reconciled total, upper bound or funding requirement.

Each square is one quarter of Q2 2026 revenue ($11.555B)

"Excluding SpaceXAI" still includes Lambda, where $34.9B is terminable if the lease is not secured, and Nscale, an up to deal with best efforts financing. L73 L74

These are nominal multi-year contract amounts on mixed bases, some beginning before June 30; they are not a reconciled schedule of remaining payments. Broadcom lease rent excludes interest. Comparing them with one quarter of revenue does not measure cash affordability or payback. The filing describes obligations extending into 2045. Possible overlap between the Broadcom leases and Google TPU capacity is not verified; we do not net it. Reported capex alone does not describe the infrastructure arrangements; leases and service commitments have different accounting and cash timing. L32 L76 L20 L75

05 Sensitivity

Cash balance sensitivity

Hypothetical incremental spending, not a company runway forecast. Only the June 30 starting balance is sourced. You choose both future cash-flow assumptions. No revenue growth, GAAP expense ratio, credit draw or infrastructure payment schedule is inferred.

Net cash flow can be positive or negative. It includes all cash flows you assume before the separate extra outlay. Include each cost once: extra outlay must be additional to your net-flow assumption. These are not estimates of Anthropic's future flows or SpaceXAI payments.

How it works
Each illustrative quarter: prior balance + assumed net cash flow − extra outlay. Start at $131.651B of cash and short-term investments at June 30, 2026. Twenty quarters end at Q2, 2031. Stop the line at zero; no intra-quarter exhaustion date is estimated. No discounting, interest, financing or contractual schedule is modeled. The default holds balance constant and is not a base-case forecast. L69L17

Net Revenue Retention compares Q3 2026 revenue with Q3 2025 revenue for the same Qualified Customer cohort (at least $1 in the base period), excluding Pro and Max. It is revenue expansion, not customer-count retention or TTM revenue. Analytical caution: a small prior-period base can magnify the ratio. L38 L77

07 Control

Proposed post-IPO voting structure

The Class F share is to be issued immediately before the IPO closes. Its 50.1% of general votes is distinct from the LTBT right to elect a board majority; neither number is a statement of total co-founder economic ownership.

08 Risks

88 risk factor headings

Department of War designation. The Secretary of War directed a "supply-chain risk to national security" designation. A district court largely ruled for the company on August 27, 2026; the D.C. Circuit denied its petition 2-1 on September 25, 2026; rehearing en banc is sought. L82 L83

Preview rule: the first 3 headings of each category, in the order the filing lists them. Search always covers all 88. L104

Term counts: whole filing / Risk Factors

Stems with * count all endings. NVIDIA is 0 in Risk Factors because they refer to chip suppliers generically. L53

09 Fine print

Fine print worth knowing

Financing amounts and a historical expense ($B)

The financing dollar amounts below are nonadditive. The Google option reduces note capacity. Convertible principal converts under its terms; historical SBC expense is neither financing capacity nor a number of shares.

Separately, the board may issue up to 2% under a discretionary Public Benefit framework after a 50% price milestone. The threshold must hold on at least 90 of 120 trailing trading days, and the preceding 10-day average must also exceed it. This is not automatic issuance. L103 L48
